Use this template to prepare a Non-Exclusive Consulting Services Agreement for use in Canada, between a client and an independent contractor who supplies information technology services. Provisions of the agreement include:

• The contractor is not subject to supervision by or instructions from the client;
  
• The contractor indemnifies the client against claims by Canada Customs and Revenue Agency (Revenue Canada) for employee deductions, and against claims for damages, loss or injury caused by the contractors employees;
  
• The contractor and its employees are bound by confidentiality and nondisclosure provisions;
  
• The client is the sole owner of all deliverables under the contract;
  
• The contractor will not solicit staff or customers of the client.
