Use this template to prepare a Non-exclusive Distribution Agreement specifically for use in the Province of Ontario, between a manufacturer and a distributor. Provisions of the agreement include:
- The manufacturer appoints the distributor as an authorized distributor of all of its products and services within a defined territory.
- Orders are shipped FOB Manufacturers location.
- Distributor grants Manufacturer a purchase money security interest in products not fully paid for.
- Distributor cannot sell or market competing products or services.
