Use this template to prepare an Agreement for Exclusive Right to Manufacture, between a buyer and a seller, under which the buyer is granted the exclusive right to manufacture products for the seller and to sell and distribute the products within a defined territory. Provisions of the agreement include:

• Seller will fully disclose to buyer's personnel its technical specifications, processes and other know-how to enable buyer to manufacture the products.
  
• All such information will be kept confidential by the buyer, and shall not be disclosed to third parties.
  
• Buyer pays seller a percentage of net monthly sales, calculated on specific sales levels.
  
• Buyer must meet a minimum sales target.
  
• Seller reserves the right to export products and sell them in territories outside the defined territory.
