Use this template to help you prepare a Sale Agreement between an inventor (seller) and a purchaser for the sale and transfer of a previously unlicensed or unmarketed proprietary process. Terms of the agreement include:

• The purchaser will pay a royalty to the inventor on each item produced using the process (up to a maximum aggregate amount);
  
• The seller agrees not to divulge any information regarding the process to any party other than the seller;
  
• The seller agrees to train at least two persons designated by the buyer in the process and its use and application.
