Use this template to prepare a Compensation Agreement between a company and one of its shareholders, under which the company agrees to pay certain compensation to the shareholder in return for the shareholder providing full-time management services to the corporation. Provisions include:

• The annual compensation under the agreement will be paid in instalments on regular payroll dates.
  
• The shareholder will also receive an annual bonus calculated as a percentage of net profits.
  
• The shareholder is entitled to all pension, medical and other employee benefits.
