Use this template to prepare a Share Exchange Agreement for Canada, between a corporation and its shareholders as part of a reorganization of the corporation's share capital.

The shareholders agree to exchange their existing shares for new shares of a particular class following the reorganization. The package also includes corporate resolutions authorizing the share exchanges.
