• the plan is intended for an existing business
  
• the plan can be used to raise either loan capital from traditional lenders, such as banks, or potential investors, in exchange for share equity
  
• the share subscription price for investors will be allocated between common and preferred shares
  
• the buy-out strategy provides that a percentage of the preferred shares will be redeemed each year from annual cash flows
  
• the plan includes pro forma financial projections
  
• also includes confidentiality agreement to be signed by each person who reads the plan in order to protect your proprietary information, such as financial data.
