Use this Non-Disclosure and Confidentiality Promise and Undertaking if you are a recipient of confidential information during negotiations with the party disclosing the information. The undertaking includes:

• The recipient will hold all such information in strictest confidence and not use it for any purpose other than for purposes of the negotiations.
  
• Indemnification of the disclosing party by the recipient for any losses or expenses incurred by a breach of the agreement by recipient.
  
• A warranty that none of the information provided by the recipient to the disclosing party is proprietary or confidential.
