Use this template to help you prepare an Intellectual Property Transfer Agreement for the United Kingdom, between the owner / inventor who is selling an invention, patents and associated documentation and know-how, and a purchaser who will commercially produce the product. Provisions of the agreement include:

• The seller will provide ongoing support, assistance and expertise.
  
• The purchaser's solicitors will hold the executed assignments in trust as security for payment of the purchase price.
  
• The seller agrees not to disclose any of the confidential information to third parties unless requested to do so by purchaser.
  
• The parties mutually indemnify each other.
  
• Provision for termination upon missing a milestone.
  
• Provision for termination for default in payment.
