Use this template to prepare a set of Purchase Order Conditions for Sale, which can be attached as a Schedule to a purchase order to set out the terms and conditions under which the purchaser (buyer) will purchase, accept delivery and pay for goods manufactured for the purchaser by the seller (vendor). Conditions include:

• The vendor warrants that all goods will conform to the purchaser's specifications.
  
• Delivery is subject to inspection by the purchaser.
  
• The vendor must provide written notice of any anticipated or actual delay in shipping.
  
• The vendor will pay the costs of delivery for returned products.
