Use this template to prepare a Management Services Agreement, between a corporate client and a management firm which is being retained as an independent contractor. Provisions include:

• Duties of the manager will include management of software maintenance and support contracts with the clients customers, including providing technical support.
  
• The manager must maintain complete and accurate records, and will invoice the company monthly for its services (charged on an hourly basis) plus any allowable expenses.
  
• The agreement is not exclusive, and the manager is not required to devote all of its time and efforts to managing the clients business.
