Use this template to create a resolution of the shareholders of a business corporation, appointing the directors for the ensuing year. The file also contains a Consent to Act form which is to be signed by each of the directors being appointed.

These forms would be used in circumstances when the shareholders are allowed by law to appoint directors by way of resolution, rather than electing a board of directors at an annual meeting.
