Use this template to prepare a Confidentiality, Non-Disclosure & Non-Competition Agreement for Canada, between a consultant and a corporation which is hiring the consultant. Provisions of the agreement include:

• The agreement is intended to protect intellectual property and trade secrets of the corporation, of which the consultant has become aware during the performance of its duties.
  
• The consultant agrees not to divulge or use any confidential information belonging to the corporation. Any disclosure or use will be deemed to cause the corporation irreparable harm for which damages are not a sufficient remedy.
  
• The consultant is not granted any proprietary rights under the agreement.
  
• The consultant covenants not to compete with the corporations business during and for a specified period of time after the term of the contract.
